Introduction

These Terms of Service ("Terms") govern your access to and use of ytultra.com and its associated services (collectively, "ytultra" or the "Service"). By accessing or using ytultra, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years of age to use ytultra. By using the Service, you represent that you meet this requirement. If you are using ytultra on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

ytultra provides AI-powered tools for YouTube creators and marketers, including subtitle downloading, transcript generation, video summarization, script extraction, video analysis, script generation, chapter generation, and video-to-notes conversion. The Service retrieves publicly available data from YouTube via the YouTube Data API and processes it using third-party AI providers. ytultra does not download, host, or redistribute video files.

3. User Accounts

Some features of ytultra require you to create an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms, engage in abuse, or are used for fraudulent purposes.

4. Acceptable Use

You agree not to use ytultra to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Submit content that is illegal, harmful, threatening, abusive, or defamatory
• Attempt to circumvent rate limits, access controls, or authentication systems
• Scrape, crawl, or use automated means to access the Service beyond normal use
• Resell or sublicense access to the Service without written permission
• Use the Service for any purpose that violates YouTube's Terms of Service
• Reverse engineer, decompile, or attempt to extract the source code of the Service

5. YouTube API and Third-Party Services

ytultra uses the YouTube Data API Services. By using ytultra, you agree to be bound by the YouTube Terms of Service (youtube.com/t/terms) and acknowledge that Google's Privacy Policy (policies.google.com/privacy) applies to data processed through the YouTube API. ytultra also uses OpenRouter for AI processing and Clerk for authentication.

ytultra offers both free and paid subscription plans. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel. All fees are non-refundable except as required by applicable law. We reserve the right to modify pricing with reasonable notice. If payment fails, we may suspend or downgrade your account to the free tier.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted or error-free, or that AI-generated content will be accurate, complete, or suitable for any purpose. AI-generated content may contain errors or inaccuracies. You should review all generated content before using it professionally or publicly.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM OR (B) 50 Singapore dollars (SGD).

You agree to indemnify, defend, and hold harmless ytultra and its operators from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your violation of YouTube's Terms of Service.

11. Service Availability and Modifications

We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice. We may update these Terms from time to time. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore. Any dispute arising from these Terms shall be resolved through binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Arbitration Rules in force at the time, except that either party may seek injunctive relief in the courts of Singapore. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Termination

We may terminate or suspend your access to ytultra at any time, for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections 6, 8, 9, 10, and 12 of these Terms survive termination.
